The Short Version

  • Celdario is a viewer and editor for Jupyter notebook files. It does not run code and is not a replacement for Jupyter.
  • You buy it once on the Mac App Store. No subscription, no account.
  • Your notebooks are yours. We never see them.
  • Keep your own backups. Celdario edits files in place and saves what you tell it to save.
  • Don't redistribute the app or use it to break the law.
  • We can't guarantee every notebook renders perfectly or that the app has no bugs, though we fix the ones we find.

If you agree with that, you'll agree with the rest. Here are the details.

1. What Celdario Is (and Isn't)

1.1 What we provide

Celdario is a macOS application made by Virgee LLC ("we," "us," "our") that:

  • Opens and renders Jupyter notebook files in nbformat 4, including their saved outputs
  • Searches and replaces across a notebook
  • Edits code, Markdown and raw cells, and the underlying nbformat JSON
  • Exports notebooks to HTML, PDF, Markdown and script files, and prints them
  • Previews notebooks in Finder through a Quick Look extension

1.2 What we are NOT

  • Not an execution environment. Celdario never starts a kernel or runs the code in a notebook. The outputs you see are the ones saved in the file.
  • Not a backup or sync service. Celdario reads and writes the files on your disk and nothing else. You are responsible for keeping copies of your work.
  • Not affiliated with Project Jupyter. Jupyter is a trademark of NumFOCUS. Celdario is an independent app that reads and writes the open nbformat file format.

2. Your License

2.1 What you get

When you buy Celdario, Virgee LLC grants you a personal, non-exclusive, non-transferable license to install and use the app on Macs you own or control, as permitted by the Apple Media Services Terms and Conditions, including through Family Sharing where Apple makes it available.

2.2 What you may not do

  • Copy, redistribute, sell, rent or sublicense the app or its components, other than as Apple's terms allow
  • Reverse engineer, decompile or disassemble the app except to the extent that applicable law expressly permits it
  • Remove or alter copyright, trademark or other proprietary notices
  • Use the app in a way that violates any law or infringes anyone's rights

2.3 Updates

We deliver updates through the Mac App Store. Updates may add, change or remove features. These terms apply to every version unless an update comes with new terms.

3. Your Notebooks & Content

3.1 You own your files

Everything you open, edit, create or export with Celdario belongs to you. We claim no rights in it, and because the app never transmits anything, we never possess it.

3.2 Saving and backups

Celdario writes to the file you opened when you save, and macOS Autosave and Versions may keep earlier copies on your Mac. The app aims to write unchanged cells back byte for byte, but file formats, other tools and bugs can produce surprises. Keep backups of anything you cannot afford to lose; we are not responsible for data lost because they were not kept.

3.3 Content in notebooks

Notebooks can contain HTML, images and other embedded content from wherever they came from. Celdario renders such content in a sandbox with remote loading blocked, but you remain responsible for the files you choose to open and for respecting the rights of their authors.

4. Acceptable Use

4.1 Do

  • Use Celdario for reading, reviewing, tidying and sharing notebooks, personally or at work
  • Tell us when something breaks, so we can fix it

4.2 Don't

  • Use the app to infringe copyright, violate licenses or break any law
  • Interfere with the app's security measures, including the sandbox and the network blocks
  • Misrepresent Celdario as your own product or as affiliated with Project Jupyter or Apple

5. Intellectual Property

5.1 Our stuff

Celdario, its icon, name, design and code are owned by Virgee LLC and protected by copyright, trademark and other laws. These terms give you a license to use the app, not ownership of it.

5.2 Open-source components

The app bundles open-source software, including markdown-it, KaTeX, highlight.js, ansi_up and CodeMirror, each under its own license. Those licenses are listed in the app under Help ▸ Acknowledgements and govern those components.

5.3 Feedback

If you send us suggestions or ideas, you agree we may use them without obligation to you. We will not claim you did not think of them first.

6. Support

Support is by email at support@virgee.com, and the answers to common questions are at celdario.app/support. We aim to reply within a few business days but cannot guarantee a response time, a fix or a feature.

7. Disclaimers

7.1 "As is" software

Celdario is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

7.2 What this means in plain language

  • Notebooks come from many tools and some contain unusual content; we cannot promise every one renders exactly as elsewhere
  • We cannot promise the app is free of bugs, though we fix the ones we find as fast as we can
  • Exports are a best-effort translation into other formats, not a certified reproduction
  • We are a small team building the best product we can

8. Limitation of Liability

8.1 Cap on damages

To the maximum extent permitted by law, Virgee LLC's total aggregate liability to you for any claims arising from or related to Celdario shall not exceed the greater of:

  • The amount you paid for the app in the 12 months prior to the claim, or
  • One hundred US dollars ($100)

8.2 Exclusion of certain damages

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, including loss of data, loss of profits or revenue, or loss of goodwill.

8.3 Exceptions

Nothing in these terms limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded by applicable law.

9. Dispute Resolution

9.1 Let's talk first

If you have a dispute with us, please contact us at support@virgee.com first. Most issues can be resolved quickly through direct communication. We commit to responding within 14 business days.

9.2 Informal resolution

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes informally for at least 30 days after the initial written notice.

9.3 Governing law

These terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles.

9.4 Jurisdiction

Any disputes that cannot be resolved informally shall be resolved in the state or federal courts located in Sangamon County, Illinois, United States. You consent to the personal jurisdiction of these courts.

9.5 Class action waiver

To the maximum extent permitted by law, you agree to resolve disputes with us on an individual basis and waive any right to participate in a class action, class arbitration or representative action.

9.6 Time limit

Any claim must be brought within one (1) year of the event giving rise to the claim, or the claim is permanently barred.

10. Changes to These Terms

We may update these terms from time to time. When we do:

  • Minor changes (typos, clarifications): we update this page and the "Last Updated" date.
  • Material changes (new restrictions, liability changes): we call them out in the release notes of the next update and here, at least 30 days before they take effect. If you continue using Celdario after that, you accept the new terms.

The current version is always available at celdario.app/terms.

11. General

11.1 Entire agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and Virgee LLC regarding Celdario.

11.2 Severability

If any part of these terms is found to be unenforceable, the rest remains in full effect.

11.3 No waiver

Our failure to enforce any part of these terms does not waive our right to enforce it later.

11.4 Assignment

We may assign these terms in connection with a merger, acquisition or sale of assets. You may not assign your rights under these terms.

11.5 Force majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control.

12. Apple App Store Terms

Because you obtained Celdario from the Mac App Store, the following additional terms apply. In the event of any conflict, this Section 12 controls with respect to your use of the app obtained from the App Store.

12.1 Acknowledgment

These terms are between you and Virgee LLC only, not with Apple Inc. ("Apple"). Apple is not responsible for Celdario or its content.

12.2 Scope of license

The license granted to you is limited to a non-transferable license to use Celdario on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may also be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.

12.3 Maintenance and support

Virgee LLC is solely responsible for providing any maintenance and support services for Celdario, as specified in these terms or as required by applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services for the app.

12.4 Warranty

Virgee LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of Celdario to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the app.

12.5 Product claims

Virgee LLC, not Apple, is responsible for addressing any claims by you or any third party relating to Celdario or your possession and use of it, including product liability claims, any claim that the app fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy or similar legislation.

12.6 Intellectual property rights

In the event of any third-party claim that Celdario or your possession and use of it infringes that third party's intellectual property rights, Virgee LLC, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such claim.

12.7 Legal compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist-supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

12.8 Third-party beneficiary

Apple and its subsidiaries are third-party beneficiaries of these terms and, upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.

13. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless Virgee LLC, its officers, directors, employees, contractors and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of your use of Celdario in violation of these terms, of any law, or of the rights of a third party.

14. Export Controls

Celdario may be subject to U.S. export control laws and regulations, and to export or import regulations in other countries. You agree to comply with them, including the U.S. Export Administration Regulations and sanctions programs administered by the U.S. Office of Foreign Assets Control.
